1. ACCEPTANCE OF TERMS

LabDash is a direct to consumer, online lab test purchasing service (the “Services”). Byaccessing or using this website or the Services (the “Site”), you agree to be bound by these Terms and Conditions (the “Terms”) and other applicable laws. LabDash reserves the right tomake changes to these Terms at any time and changes will be effective immediately upon publishing on the Site. If you do not agree to comply with these Terms, do not use this website.

2. ELIGIBILITY AND USER REPRESENTATIONS

By using the Site, you represent and agree that:

a. You are over the age of eighteen (18).

b. The information you submit while purchasing a lab test is truthful and accurate.

c. You will not copy any images, text, or structure from this website.

d. You will use the Site according to instructions and intended use.

e. You will abide by the Purchase Policy and Medical Disclaimer as defined below.

3. PURCHASE POLICY

The information on this Site is for informational purposes only. LabDash makes no express orimplied warranties, representations, or endorsements whatsoever with regard to the Services provided. It is solely your responsibility to evaluate the accuracy, completeness, and usefulness of all opinions, advice, Services, merchandise, and other information provided. LabDash shall not be liable for any cost or damage arising either directly or indirectly from any transactions conducted or information conveyed on the Site. LabDash offers no assurance of uninterrupted service or error free service. LabDash does not warrant the accuracy or completeness of the information, text, graphics, links, or other items contained on the Site.

4. INDEMNIFICATION

Users of this Site agree to indemnify, defend, and hold harmless LabDash, its officers, directors, employees, agents, licensors, suppliers, and any third party information providers to the Site from and against all losses, expenses, damages, and costs, including reasonable attorneys’ fees, resulting from any violation of these Terms by the user.

5. COUPONS AND PROMOTIONAL CODES

Discount coupon codes issued by LabDash may be offered to customers. Orders placed that do not meet the requirements or after expiration will be processed without the discount. Monthly specials will only be honored during the month they are featured. Site wide percentage off sales exclude Monthly Specials. Health Care Providers are not eligible for additional discounts. Refunds will not be given retroactively. Coupons are not redeemable for cash and only one may be used for each purchase. Adjustments, credits, and or refunds for discount codes not entered at the time of ordering will not be issued.

6. REFUNDS AND CANCELLATIONS

Refunds are only permitted prior to the submission of specimens for testing.

a. Within seven (7) days of purchase, a full refund will be issued using the original payment method.

b. Within eight to one hundred eighty (8 to 16) days of the purchase date, a full refund less a $20 cancellation fee will be issued.

c. After seventeen (17) days, a Website Credit will be issued upon request in the form of a gift card or promo code that will be accessible only with LabDash.

d. No refunds or credits are issued after six (6) months of purchase.

7. LAB ORDER EXPIRATION AND RENEWAL

Lab Orders are valid for twelve (12) months from the date of purchase. If you do not use your Lab Order within this time period it expires. Once a Lab Order has been used, the lab requisition form can not be used again.

8. GOVERNING LAW

These Terms and the Site shall be governed by and construed in accordance with the laws of the State of Texas without giving effect to its conflict of laws principles. This Site is owned and operated by Premier Health, LLC d b a LabDash (“LabDash”). All of the information contained herein is the exclusive property of LabDash.

9. SERVICE AREA LIMITATIONS

LabDash only operates within the United States. Due to state laws prohibiting customers ordering lab tests, LabDash is unable to offer Services in New York, New Jersey, and Rhode Island.

10. AGE LIMITATIONS

LabDash’s Ordering Providers require that patients tested be at least eighteen (18) years old. LabDash is unable to process orders for anyone under the age of eighteen (18) at this time.

12. MEDICAL DISCLAIMER AND ROLE OF PROVIDERS

All information contained on this Site is provided for availability and pricing purposes only and is not intended to be a substitute for a physician’s consultation. Lab test Services are offered for wellness monitoring purposes only. The tests listed in or on this Site are not intended to diagnose, treat, or cure disease. LabDash does not recommend self-diagnosis or self-medication, and no information within this Site, or presented herein, may be construed or interpreted as recommending self-diagnosis or self-medication.

Outside of providing affordable, clinical testing, LabDash does not engage in rendering medical advice or other medical Services. Further, LabDash gives no warranty that any clinical lab test will prevent disease. Individuals with health disorders, medical conditions, or any condition needing medical supervision assume full responsibility for obtaining professional medical assistance. All Site users are strongly encouraged to consult and work with an experienced health care practitioner regarding any symptoms, abnormal health screens, or medical conditions.

A clinical lab test only constitutes a partial evaluation of an individual’s state of health and does not represent a diagnosis or recommendation. There are numerous medical diseases that cannot be discovered by clinical lab tests alone. If a laboratory test result is outside the normal range, you are encouraged to see a physician or advance practice provider. Each test, and its result, is provided for informational purposes only and is not a substitute for the care, medical advice, or treatment provided by your physician. Each test has benefits, risks, limitations, false positives and egatives, and accuracy is not guaranteed. Tests and test results are best interpreted in the context of your overall clinical evaluation with a physician or advance practice provider.

Laboratory test results may vary depending on age, sex, time of day blood sample is taken, diet, medications, and the limits of modern technology. Many tests and values, in order to be validated and monitored, will need to be repeated at the discretion of your consulting or treating provider.

13. PRIVACY AND HIPAA

Your personal information may be shared with state and municipal health departments if your test results indicate you may have a disease or condition that LabDash is required by law to report to them. Not all jurisdictions require such reporting. You will be notified if LabDash is required to disclose your personal information to a health department.

14. LIMITATION OF LIABILITY

LabDash shall not be liable to you or anyone else for any loss or injury caused in whole or in part by procuring, compiling, interpreting, delivering, or reporting information through this Site. In no event shall LabDash be liable to you or anyone else for any decisions made or action(s) taken or not taken by you in reliance on such information.

15. HIV TESTING DISCLOSURE

If purchasing a blood test for Human Immunodeficiency Virus (HIV), you understand and agree to the following:

a. The tests can produce false positive and false negative results.

b. Screening tests fail to detect anti HIV for a period of time immediately after infection with the virus (early post exposure period). Re testing or alternative DNA by PCR testing is a recommended option if it is suspected that post exposure testing has pre dated the required period for conversion to positive HIV status.

c. The results of the HIV test will become part of your medical record. The confidentiality of your medical record will be maintained as per HIPAA regulations. However, it is required by law that a positive test result must be reported to the appropriate State Health Division.
